Welcome to BidPrompt ("we," "us," or "our"), a web-based software platform designed to streamline tender documentation processes for Gram Panchayats in India. These Terms of Service ("Terms") govern your access to and use of BidPrompt, including any content, functionality, and services offered through the platform. By accessing or using BidPrompt, you agree to be bound by these Terms. If you do not agree, please do not use the platform.
You must be at least 18 years old and have the legal authority to enter into these Terms to use BidPrompt. By using the platform, you represent and warrant that you meet these requirements and that you are using BidPrompt in compliance with all applicable laws and regulations in India, including those related to Gram Panchayat tender processes.
To access BidPrompt, you must log in using your Google account via Firebase Authentication. You agree to:
We reserve the right to suspend or terminate your account if we suspect fraudulent, abusive, or unauthorized activity.
BidPrompt is designed to assist Gram Panchayats in creating and managing tender-related documents, such as notices, tender forms, comparative statements, and registers. You agree to use the platform solely for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
You are solely responsible for the content you input, create, or store on BidPrompt, including tender-related documents and any associated data ("User Content"). By using BidPrompt, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the platform’s services.
You represent and warrant that:
All content, features, and functionality of BidPrompt, including but not limited to software, designs, text, graphics, and logos, are owned by us or our licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of BidPrompt without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use BidPrompt for its intended purpose.
BidPrompt uses Firebase, a Google service, for authentication and data storage. Your use of Firebase is subject to Google’s Terms of Service and Privacy Policy. We are not responsible for the performance, availability, or practices of third-party services.
BidPrompt is a subscription-based service with the following plans:
Each subscription plan requires renewal at the end of the respective period (3 years or 2 years) to maintain uninterrupted access to BidPrompt. You agree to:
All subscription fees are non-refundable, except as required by applicable law. We reserve the right to modify our subscription plans or fees at any time, with notice provided via the platform or email at least 30 days before the changes take effect. If you do not agree to the modified fees, you may choose not to renew your subscription. Failure to pay or renew your subscription will result in the suspension or termination of your access to BidPrompt.
You may stop using BidPrompt at any time by discontinuing your subscription, but no refunds will be provided for the unused portion of your subscription period. We may suspend or terminate your access to the platform, with or without notice, if you:
Upon termination, your right to access BidPrompt will cease, and we may delete your User Content, subject to applicable legal retention requirements.
BidPrompt is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that:
You are responsible for ensuring that all documents created using BidPrompt comply with applicable laws, regulations, and tender requirements.
To the fullest extent permitted by law, we and our affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of BidPrompt. Our total liability for any claim related to these Terms or the platform will not exceed the amount you paid for your subscription in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless us and our affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising out of or related to:
These Terms are governed by the laws of India, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or your use of BidPrompt will be subject to the exclusive jurisdiction of the courts located in [Insert City], India.
